5. Liability and Indemnification

5.1 EU Users

Indemnification. You agree to indemnify and hold harmless the Owner, its subsidiaries, affiliates,officers, directors, agents, partners, and employees from any third-party claimarising from your misuse of the Service, breach of these Terms, or infringementof third-party rights, to the extent permitted by law.

Limitation of Liability.Except as required by mandatory product-liability law, you have no right toclaim damages from the Owner, except for damages to life, health, or physicalintegrity, damages from breach of an essential contractual obligation, ordamages caused by intent or gross negligence — provided the Website was usedcorrectly.

Where liability is not excludedby intent, gross negligence, or harm to life/health, the Owner's liability islimited to foreseeable, typical damages at the time the contract was formed.The Owner is not liable for lost business opportunities, indirect losses,force-majeure events, or losses not directly caused by the Owner's breach. Inany case, total liability is capped at the amount paid by you to the Owner overthe prior 12 months (or the term of the agreement, if shorter).

5.2 Australian Users

Nothing in these Termsexcludes, restricts, or modifies any non-excludable consumer guarantee underthe Competition and Consumer Act 2010 (Cth) or equivalent state/territory law.To the extent the law permits, the Owner's liability is limited, at its discretion,to re-performing the service or paying the cost of having it re-supplied.

5.3 US Users

Disclaimer of Warranties.The Website is provided “as is” and “as available.” Use is at your own risk. Tothe maximum extent permitted by law, the Owner disclaims all warranties,express or implied, including merchantability, fitness for a particularpurpose, and non-infringement. The Owner does not warrant that the Website willbe accurate, uninterrupted, secure, error-free, or free of harmful components,and is not responsible for third-party products or services offered through theWebsite.

Some jurisdictions do not allowexclusion of certain implied warranties, so some exclusions may not apply toyou. You may have additional rights under state law.

Limitation of Liability. To the maximum extent permitted by law, the Owner and its affiliates are notliable for indirect, incidental, special, consequential, or punitive damages,including loss of profits, data, or goodwill, arising from use of or inabilityto use the Service; unauthorized access to your account or data; errors oromissions in content; or the conduct of any user or third party. 6. Common Provisions

No Waiver. The Owner'sfailure to enforce a right or provision does not waive that right.

Service Interruption.The Owner may interrupt the Service for maintenance, updates, or other reasons,with reasonable notice where practical, and may suspend or terminate theService within the limits of applicable law. The Service may also beunavailable due to force majeure events beyond the Owner's control.

Service Reselling. Youmay not reproduce, resell, or commercially exploit any part of the Website orService without the Owner's prior written permission.

Privacy. See theWebsite's separate Privacy Policy for details on the handling of Personal Data.

Intellectual Property.All trademarks, trade names, logos, and other IP associated with the Websiteare the exclusive property of the Owner or its licensors and are protectedunder applicable law and international treaties.

Changes to These Terms.The Owner may amend these Terms at any time and will notify Users of materialchanges. Changes apply prospectively. Continued use of the Service afterchanges take effect constitutes acceptance; if you disagree with revised Terms,you must stop using the Service.

Assignment. The Ownermay transfer or assign its rights and obligations under these Terms. You maynot assign your rights or obligations without the Owner's written consent.

Severability.

•      US Users: Any invalid or unenforceable provisionwill be reformed to the minimum extent necessary to make it valid andenforceable, consistent with its original intent; the remaining Terms stay ineffect.

•      EU Users: If a provision is invalid, the partieswill attempt to agree on a valid substitute; failing that, applicable statutoryprovisions will apply. Invalidity of one provision does not void the entireAgreement unless that provision was essential to it.

Governing Law. TheseTerms are governed by the law of the State of Kansas (USA), without regard toconflict-of-law principles, except that European Consumers retain theprotection of any mandatory consumer-protection law of their habitualresidence, if more favorable.

Venue. Disputes aresubject to the exclusive jurisdiction of the courts located in Saline County,Kansas (USA), except this does not apply to European Consumers or Consumersbased in Switzerland, Norway, or Iceland.

7. Definitions

•      This Website — the platform through which the Serviceis provided.

•      Agreement — any binding relationship between the Ownerand a User governed by these Terms.

•      Business User — any User who is not a Consumer.

•      European (or Europe) — applies to a User physicallypresent in, or with registered offices in, the EU, regardless of nationality.

•      Owner (or We) — Velocity Flow Technologies, the legalentity that owns the SolidEx brand and provides the Website and Service.

•      Service — the service(s) provided through the Websiteas described in these Terms.

•      Terms — this document and any related agreements, asupdated from time to time.

•      User (or You) — any natural person or legal entityusing the Website.

•      Consumer — a natural person who uses the Website forpurposes outside their trade, business, craft, or profession.
